MIGUEL TORRES, S.A. (from now on, the ORGANIZER), with its registered office at Calle Miquel Torres i Carbó 6, 08720 Vilafranca del Penedès (Barcelona, Spain) and tax identification number A-08.933.251, is running the “VIÑA SOL – EL PAELLER 2026” promotion in the United Kingdom to promote the VIÑA SOL brand through a prize draw for EL PAELLER paella starter kits.

The ORGANIZER advocates responsible drinking and moderate consumption of alcoholic beverages and reminds participants that, under current UK law, the sale of alcoholic drinks to anyone under the age of 18 is strictly prohibited.

These terms and conditions govern the promotion.

1. SCOPE OF THE PROMOTION

1.1. Eligibility

To be eligible to take part, individuals must:

1. Be at least 18 years old.
2. Have legal capacity under the laws of the United Kingdom.
3. Be legally resident in the United Kingdom (England, Scotland, Wales or Northern Ireland).

1.2. Duration and territory

The promotion starts on 10 July 2026 at 00:00 (UK time) and ends on 30 September 2026 at 23:59 (UK time), or earlier if all available prizes have been awarded, whichever occurs first.

The ORGANIZER reserves the right to end the promotion early, or to amend or extend it, where there is a valid reason to do so. Any changes will be publicised on the promotion website and, where appropriate, via the same communication channels used to advertise the promotion.

The promotion is only valid within the United Kingdom (England, Scotland, Wales and Northern Ireland).

2. Promotion and raffle mechanics

The mechanics of the promotion shall be as detailed below:

1. The participant must purchase a bottle of Viña Sol in authorized establishments in the United Kingdom and within the validity dates of the promotion (from 10 July 2026 to 30 September 2026).
2. The participant must keep the proof of purchase (ticket or receipt) and scan the QR code that appears on the neck hanger of the bottles and/or other point-of-sale materials (display islands, stoppers, headers, etc.) to access the promotion website: https://vinasol.com/concurso
3. Once the participant has accessed the promotion website, he/she must:
   • Register the requested personal data (name, surname, age range and contact email address).
   • Upload a visible and legible photograph of the purchase ticket/receipt, where the purchase of a bottle of Viña Sol within the promotional period is clearly shown.

The prizes will be allocated through the random “winning moment” procedure.

The delivery of the prize will be conditional upon the validity of the purchase ticket, which must demonstrate the purchase of Viña Sol during the promotion period, as provided for in these terms and conditions.

Each purchase ticket allows for a single participation; multiple participation with the same purchase ticket shall be invalidated (due to fraud).

Participation in the promotion in a fraudulent manner (including, by way of example and not limitation, the use of bots, non-manual systems, hacking, multiple use of the same purchase ticket, manipulation of data or documents, etc.) will result in automatic elimination for fraud or deception, without entitlement to receive the prize allocated.

3. Prizes

3.1. For participants

The prizes of the promotion are:

EIGHTY-THREE (83) EL PAELLER PAELLA STARTER KITS

Each starter kit is valued, for indicative purposes, at 80 GBP per unit.

In no case may the prize be exchanged for its cash value, nor be commercialized, nor substituted for a different product, unless the ORGANISER is obliged to replace it due to force majeure, in which case a prize of equal or higher value will be given.

4. Communication and delivery of the prize

Participants will be informed on the promotion website itself, through a “pop up” message, whether or not they are winners of one of the prizes.

The prize will only be guaranteed once the validity of the participation and of the purchase ticket/receipt has been verified.

4.1. Fraudulent participations

If the winning participation has been fraudulent, the participants will receive an email (within fifteen (15) days from the allocation of the prize) notifying them that they will not receive the prize.

Once the validity of the participations has been checked, those persons initially considered winners whose participation finally turns out to be fraudulent will be contacted, within a period of fifteen (15) days from the date of allocation of the prize, with the cancellation of their prize.

Prizes remaining due to fraudulent participations will be considered vacant and will not be rescheduled or reassigned.

4.2. Valid participations

If the winning participation has been valid, the WINNERS will receive an email (within fifteen (15) days from the allocation of the prize) notifying them that they will receive the prize and requesting the postal address for shipment.

Prizes will only be sent to a postal address within the United Kingdom (England, Scotland, Wales and Northern Ireland).

The ORGANISER will be responsible for carrying out the logistics arrangements for the shipment of the prize.

The ORGANISER will make the shipment within a period of two (2) months from the moment of reconfirmation of the prize by the winner.

The ORGANISER reserves the right to request that the winners identify themselves by exhibiting a valid official document (ID card, passport, driving licence, or any other identity document accepted in the United Kingdom). Refusal to provide such documentation or lack of concordance between it and the registration data of the promotion will entail loss of the right to receive the prize.

Once acceptance of the prize has been confirmed, the ORGANISER reserves the right to publish on the profiles it has on different social networks the name and, where applicable, the initial of the surname of the winners.

In no case shall the ORGANISER be liable for possible delivery problems once the shipment confirmation of the prize has been sent (including delays, loss, damage or incidents attributable to the courier service or to causes beyond the control of the ORGANISER).

5. Limitations

Employees of the ORGANISER, first- and second-degree relatives, employees of distributors, agents, representatives, subsidiaries, suppliers, companies involved in carrying out the promotion, as well as the companies in charge of printing and distributing the campaign components, and their first- and second-degree relatives, as well as those persons who have a direct or indirect relationship with those mentioned above, are excluded from winning the promotion.

In general terms, no person, nor their relatives, who has been a direct or indirect collaborator of the companies mentioned in the preceding paragraph or who, for any reason, has taken part in the creation or execution of this promotion may win the promotion.

Winners may renounce their prizes, but in no case will these be exchanged for their cash value, nor may they be transferred or sold to third parties, unless the ORGANISER expressly authorizes this in writing.

No cancellations or corrections may be made by the winner after confirming acceptance of the prize, except in the cases provided for by consumer legislation of the United Kingdom.

The ORGANISER declines any liability in the event that the systems used to participate in this promotion are subject to any amendment at legal or regulatory level or suffer interruptions in their functioning for any reason during the duration of the promotion, which may affect totally or partially the operability and access to them by the participants.

6. Tax treatment of the prizes

Participation in the promotion and, where applicable, the obtaining of a prize may have tax implications for the winners pursuant to the legislation in force in the United Kingdom, including that relating to Income Tax and other applicable taxes.

The ORGANISER will not make any tax withholdings in the United Kingdom and will not be responsible for the declaration or payment of any taxes that may correspond to the winners for receipt of the prize.

It is the responsibility of each winner to comply with their tax obligations before the tax authorities of the United Kingdom – HM Revenue & Customs – HMRC, and they must include the value of the prize in their tax return if so required by the applicable legislation.

The ORGANISER will not assume the tax payable resulting from any self-assessments that the winners must file, nor may it be considered liable for errors or omissions in such returns.

Winners are recommended, in case of doubt, to consult with a tax adviser or accountant regarding possible obligations arising from receipt of the prize.

You are hereby informed that the personal data necessary for participation in the draw (name, surname, age range and email address), as well as, in the case of WINNERS, the postal address and contact telephone number (for the management of the shipment), will be processed by MIGUEL TORRES, S.A. for the following purposes:

1. Managing your participation in the VIÑA SOL – EL PAELLER 2026 draw in the United Kingdom.
2. Sending you communications about our products and services, both by written and electronic means, provided that you have expressly authorised this (for example, by ticking the corresponding consent box on the website).

8. Image rights

The ORGANISER reserves the right to reproduce, use and disseminate the name and, where applicable, the initial of the surname of the winners, in any advertising and/or promotional activity related to this promotion, in any medium (including, by way of example and not limitation, written press, television, Internet, the ORGANISER’s websites and its profiles on social networks such as Facebook, Twitter, Instagram, Pinterest, etc.).

These activities will not give rise to any right to remuneration or benefit other than the delivery of the prize, in accordance with these terms.

Where the use of the winners’ identifying data requires additional consent pursuant to United Kingdom law, such consent will be expressly requested and may be withdrawn at any time, without prejudice to the validity of processing carried out prior to such withdrawal.

9. General provisions

Participation in this promotion implies knowledge and acceptance of these terms and conditions and of the criteria of the ORGANISER for resolving any incident.

Participation in this promotion is free of charge, with no cost to the participant, other than those inherent to the use of the Internet and the purchase of the Viña Sol bottle required to participate.

The ORGANISER reserves the right to make any changes, suspend, cancel or extend this promotion provided there is a justified reason to do so, including failure to meet the participation levels envisaged when designing the promotion campaign, without this implying any obligation to compensate participants in any way.

The ORGANISER reserves the right to exclude from the promotion those participants, and where applicable winners, who:

1. Make abusive or fraudulent use of these terms.
2. Provide false, inaccurate or untrue data.
3. Fail to comply with any of the conditions established herein.
4. Do not accept the content of the terms.

In the event of disqualification of participants, the company reserves the right to declare their prize void.

The personal data voluntarily provided by the participant must be truthful and complete. If this is not the case, the ORGANISER will be entitled to exclude the participant in question from the promotion.

Promotions of the ORGANISER directed at the United Kingdom are governed by the legislation in force in the United Kingdom in matters of advertising, data protection, consumer law and other applicable regulations, without prejudice to the Spanish regulations that may apply to the ORGANISER as an entity established in Spain.

The texts, images, logos, distinctive signs, sounds, animations, videos, source code and other content included in the promotion are the property of the ORGANISER, which holds, where applicable, the rights of use and exploitation and, as such, they are works protected by the applicable national and international legislation in force at all times on intellectual and industrial property.

The total or partial exploitation of any of the content (text, logo, images, designs, etc.) used in the promotion is strictly prohibited, as is the copying, reproduction, adaptation, modification or transformation of the contents of the website unless prior approval has been given by the ORGANISER, which in any case must be express and in writing.

10. Governing law and jurisdiction

These legal terms and conditions for the VIÑA SOL – EL PAELLER 2026 promotion directed at the United Kingdom shall be governed by the laws of England and Wales, without regard to any choice of law or conflict of law provision that would result in the application of the law of any other jurisdiction, except for those that are mandatorily applicable.

All matters relating to the construction, validity, interpretation and enforceability of these terms, or the rights and obligations arising from them, shall be governed by and interpreted in accordance with the law of England and Wales.

For any dispute that may arise regarding the interpretation and application of these terms, both the ORGANISER and the participants in this promotion expressly submit to the jurisdiction of the courts of England and Wales, waiving any other jurisdiction that may correspond to them, to the extent that such waiver is valid under the applicable legislation.
